In order to enhance mutual understanding, promote mutual exchange and cooperation, and jointly improve the quality and level of higher education in the region, we, the relevant universities in the China-South and Southeast Asian region, have unanimously approved the initiative of Yunnan University and agreed to establish the "South and Southeast Asian University Network", and the Constitution of the Network are hereby formulated.
Chapter I General Provisions
Article 1 Name of the Network
South and Southeast Asian University Network (hereinafter referred to as the "Network").
Article 2 Nature of the Network
The Network is a non-profit and unincorporated international university Network formed voluntarily by universities in China, and South and Southeast Asian countries and adhering to the concepts of consultation, contribution, sharing and mutual benefits.
According to the relevant laws and regulations of various countries, the members of the Network carry out cooperation in professional and talent training, scientific research, social service and cultural exchange in the field of higher education.
Based on the principles of voluntary service, equality and consultation, the Network will carry out extensive international exchanges and cooperation with other existing university Networks.
Article 3 Aim of the Network
The aim of the Network is to promote mutual understanding between the peoples of China, South and Southeast Asian countries; to build a platform for international exchange and cooperation in regional higher education; to promote cooperation among the members of the Network in development priorities of the region; to raise the level of university management in China, South and Southeast Asian countries; to build an international higher education community; to help China, South and Southeast Asian countries develop a more open, inclusive, balanced and mutually beneficial direction; to promote regional economic and social development, and to contribute wisdom and strength to the construction of a community based on common destiny.
Article 4 Tasks of the Network
(I) To strengthen cultural exchange and cooperation among the members of the Network;
(II) To promote the joint cultivation of talents and professionals among members of the Network;
(III) To expand the channels of scientific research cooperation among members of the Network;
(IV) To organize the South and Southeast Asian University Presidents Forum;
(V) To build a resource sharing platform among the members of the Network;
(VI) To carry out other activities agreed upon by members of the Network.
Chapter II Organizational Structure
Article 5 The Representative Council of the Network Member
The Council is the highest deliberation and decision-making body of the Network.
The Council members shall be the legal representatives of the members of the Network.
The duties of the Council of the Network include:
(I) To review and decide on the revision of the Constitution of the Network and the internal management system of the Network;
(II) To review and decide on the Network's development plan and work plan;
(III) To review and decide on the joining and withdrawal of members of the Network;
(IV) To put forward proposals on major development issues of the Network;
(V) To review and decide on other major issues.
Article 6 Rules of Procedure of the Council of the Network
The Network holds a Council meeting every two years. Matters discussed by the Council must be approved by more than two thirds of the Council members attending the meeting.
Article 7 Secretariat of Network
The Secretariat is permanently located at Yunnan University.
The Secretariat has a secretary-general and several commissioners. The secretary-general shall be the Vice-President in charge of international affairs of Yunnan University, who shall lead and organize the Secretariat to carry out its work.
Article 8 Duties of the Secretariat
(I) To handle the daily affairs of the Network;
(II) To execute Council resolutions;
(III) To collect and sort out the proposals of the members of the Network, and submit them to the Council for discussion;
(IV) To draft the Network development plan, Network work plan and annual work report;
(V) To prepare "South and Southeast Asian University Presidents Forum";
(VI) To assist the members of the Network in carrying out the activities of the Network in the country where they are located;
(VII) To assist the professional Committee in carrying out its activities;
(VIII) To raise and manage the Network development fund and provide funds for the daily work of the Network and related major activities;
(IX) To prepare the Network newsletter;
(X) To manage the internal archives of the Network;
(XI) To coordinate other affairs of the Network.
Article 9 The Professional Committee of the Network
According to the resolution of the Council of the Network, professional committees in different classifications can be set up within the Network.
The duties of the professional committees shall be drawn up by the professional committees and reported to the Council for approval.
Chapter III Members of the Network
Article 10 Composition of Members of the Network
Members of the Network refer to universities joining the Network, which are divided into two categories: founding members of the Network and non-founding members of the Network. Founding members of the Network automatically become members of the Network with the right of priority.
Article 11 Participation of Non-founding Members
Any university that recognizes the Constitution of the Network and is willing to assume the members' obligations may voluntarily apply to join the Network.
Universities that voluntarily join the Network shall submit a written application to the Secretariat of the Network, which will make recommendations to the Network Council after reviewing the Constitution of the Network. The applicants may become new members of the Network with the approval of more than two thirds of members of the Network Council.
Article 12 Rights of members of the Network
(I) The right to participate in various activities of the Network;
(II) The right to put forward proposals on the construction and development of the Network;
(III) The right to propose amendments to the Articles of the Network;
(IV) The right to receive grants provided by the Network for various exchange and cooperation programs;
(V) The right to inquire about internal documents and information regarding the Network;
(VI) The right to supervise the work of the Network;
(VII) The right to withdraw from the Network;
(VIII) Other rights stipulated in the Constitution of the Network.
Article 13 Obligations of the members of the Network
(I) The obligation to adhere to the Constitution of the Network;
(II) The obligation to safeguard the rights and interests of the Network;
(III) The obligation to implement resolutions of the Council of the Network;
(IV) The obligation to participate in the activities of the Network;
(V) Other obligations stipulated in the Constitution of the Network.
Article 14 Membership Dues of the Network
The Network does not collect membership dues from its members.
Chapter IV Supplementary Provisions
Article 15 Amendments to the Constitution of the Network
If the Constitution needs to be amended, it shall be proposed in written form by more than one-tenth of the members of the Council. Then the Council shall decide whether or not to amend the Constitution in accordance with the Rules of Procedure.
The Constitution is stated in both English and Chinese, but English will be used to resolve any disputes.
The Constitution shall be submitted to the Secretariat for filing after being signed by authorized representatives of the founding members of the Network.
The Constitution shall come into force on December 10, 2018, as of the date of adoption by the founding assembly of the Network.
The Council of the Network reserves the right to make a final explanation of the Constitution.
